FABLE + 42 Jeweler Agreement

1) Parties

This Marketplace Seller Agreement (the “Agreement”) governs your access to and use of the FABLE + 42 marketplace at fable42.com (the “Marketplace”) to list and sell products.

• “FABLE + 42,” “we,” “us,” or “Company” means FABLE + 42 LLC, a New York limited liability company.
• “You,” “Seller,” or “Jeweler” means the individual or business registering to sell on the Marketplace.

By registering as a Seller, connecting your shop, or listing products, you agree to this Agreement.

2) Effective Date & Changes

This Agreement is effective when you register as a Seller or list products.

We may update this Agreement from time to time by posting an updated version on the Marketplace or emailing you. Continued use means you accept the updated terms.

3) Seller Approval & Access

• The Marketplace is curated. We may approve or reject any seller in our discretion.
• We may suspend or terminate your access if you violate this Agreement, our policies, applicable law, or create risk to Customers or the Marketplace.
• You are responsible for all licenses, permits, and legal compliance required to run your business.

4) Relationship of the Parties

• You are the seller of record. All sales are between you and the Customer.
• We are a platform. We provide the Marketplace, discovery tools, and checkout. For Shopify-connected sellers, checkout and order processing run through your connected Shopify store as the FABLE + 42 sales channel. For other sellers, we facilitate payments and payouts through Stripe Connect as described in this Agreement.
• We are not the seller of your products and do not take ownership of inventory.
• You may not imply that FABLE + 42 endorses or guarantees your products.

5) Listings, Seller Information & Content

• You must ensure all information you provide (including images, materials, pricing, sizing, stone details, production timelines, and policies) is accurate, current, and not misleading.
• You must provide and maintain:
  • Production time / lead time
  • Return policy (including custom vs. non-custom treatment)

Content License

You grant FABLE + 42 a non-exclusive, worldwide, royalty-free, perpetual license to use your product content and brand assets to operate, market, and promote the Marketplace (including on our website, email, social channels, and advertising).

You represent you have the rights to grant this license.

6) Shopify Store Connection & Data

If you connect a Shopify store, you authorize FABLE + 42 to access and use Shopify data only as needed to operate the marketplace integration described in our Privacy Policy (Section C, Shopify App Data).

That includes:

• Syncing product information (titles, descriptions, images, variants, and inventory) for products you choose to list
• Storing secure API tokens to maintain the connection
• Creating or updating orders in your Shopify store to process FABLE + 42 channel purchases
• Receiving order information for purchases made through the FABLE + 42 sales channel, including customer name, email, phone, and shipping address when provided, for fulfillment and order communications

Our Shopify app is a sales channel. It does not access your store’s full order history or orders from other channels. You control which products are published to FABLE + 42 and listed on the Marketplace. You may disconnect or uninstall the app at any time from Shopify Admin.

By linking your store and listing products, you confirm you have the right to share this data with FABLE + 42 for these purposes and that your use of customer information complies with applicable law and Shopify’s terms.

7) Fine Jewelry Standards & Prohibited Listings

You may not list products that are counterfeit, infringing, illegal, deceptively described, or inconsistent with fine-jewelry standards.

You must accurately disclose where applicable:

• Metal type and karat (and whether plated or vermeil)
• Gemstone type and whether natural or lab-grown
• Known treatments or enhancements
• Whether items are ready-to-ship, made-to-order, or custom

We may remove or edit listings at our discretion.

8) Pricing, Plans & Listing Limits

Your plan determines your fees, commission, and listing limits.

Current plans:

• Starter — $0/month, 5% commission, normally 2 listings
• Growth — $19/month, 3.5% commission, 8 listings
• Studio — $35/month, 2.5% commission, 20 listings

Commission is deducted from Marketplace orders processed on your behalf.

We may update plans or pricing with notice.

9) Orders, Fulfillment & Shipping

• You are fully responsible for order fulfillment and customer satisfaction.
• You must ship using insured shipping and appropriate packaging for fine jewelry.
• You are responsible for shipping unless stated otherwise in your listing.
• You must meet your stated production and shipping timelines or promptly notify customers of delays.

10) Payments & Payouts

• Shopify-connected sellers: Checkout and order processing run through your connected Shopify store as the FABLE + 42 sales channel. Customer payments are processed through Shopify. FABLE + 42 may collect marketplace commission via Shopify app usage charges. Shopify bills app subscription fees separately per your selected plan.
• Stripe Connect sellers: Payments are processed through Stripe. Payouts are issued through Stripe Connect and released upon shipment confirmation, subject to any holds described below.
• We deduct your applicable commission before payout (or via usage charges for Shopify-connected sellers, as applicable).

We may withhold or delay payouts where reasonably necessary to address:

• chargebacks or disputes
• refunds or returns
• suspected fraud
• policy violations
• legal or compliance concerns

You authorize us to offset amounts you owe (including refunds, chargebacks, and fees) against current or future payouts.

11) Returns, Refunds & Customer Service

• Your posted return policy governs and must comply with applicable law.
• If a full refund is issued, our commission on that order will be refunded.
• You are responsible for the refunded amounts to the Customer.

Customer Support Standards

• You must respond to customer inquiries and issues within two (2) business days.
• You are responsible for resolving fulfillment, quality, and service issues related to your products.

12) Chargebacks & Disputes

• You must cooperate promptly with all dispute or chargeback investigations.
• You are responsible for outcomes and related fees tied to your products, fulfillment, or descriptions.
• We may recover disputed amounts and fees by offsetting payouts or charging your payment method where permitted.

13) Taxes

You are responsible for determining and meeting your tax obligations related to your sales. We do not provide tax advice.

14) Intellectual Property

• You retain ownership of your trademarks and content, subject to the license granted above.
• We own all rights in the Marketplace, software, branding, and systems.
• You represent your products and content do not infringe third-party rights.

15) Customer Data & Off-Platform Activity

You may use Customer information only to fulfill orders and provide transactional support.

You may not:

• use Customer data for marketing
• redirect Customers to pay you outside the Marketplace
• solicit off-platform transactions for Marketplace orders

16) Termination

• You may stop selling by removing listings and notifying us.
• We may suspend or terminate your access for violations, risk, or Marketplace integrity reasons.

Obligations relating to outstanding orders, refunds, chargebacks, confidentiality, IP, and payment amounts owed survive termination.

17) Disclaimers & Limitation of Liability

The Marketplace is provided “as is” and “as available.”

To the fullest extent permitted by law, FABLE + 42 is not liable for indirect, incidental, consequential, or punitive damages.

Our total liability will not exceed the total fees paid to us in the three (3) months prior to the event giving rise to the claim.

18) Indemnification

You agree to defend and indemnify FABLE + 42 LLC and its team against claims arising from:

• your products and their sale or fulfillment
• your content
• your violation of law or this Agreement
• intellectual property claims
• your customer service, packaging, labeling, or shipping

19) Governing Law

This Agreement is governed by the laws of the State of New York.

20) Notices

Legal and seller notices to FABLE + 42 must be sent to: hello@fable42.com

We may contact you at the email associated with your seller account.

21) Miscellaneous

This Agreement does not create a partnership, employment, or agency relationship.

You may not assign this Agreement without our consent.

This Agreement and any referenced policies form the entire agreement governing your participation as a Seller.
